1. Acceptance of Terms
By accessing or using the PrivateClawd platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to all of these Terms, do not use the Service. These Terms apply to all users, including visitors, registered users, and anyone who accesses the platform.
2. Description of Service
PrivateClawd is a self-hosted web platform that enables users to deploy and manage OpenClaw AI bots. The Service provides:
- Bot creation and Docker container management
- Integration with messaging channels (Telegram, WhatsApp)
- Configuration of LLM providers (OpenAI, Anthropic, Google Gemini, DeepSeek, Groq, OpenRouter, Together AI)
- Built-in and custom skill management
- Browser automation and code execution capabilities
- File workspace management
- Token usage analytics and monitoring
3. User Accounts
3.1 Registration
To use the Service, you must create an account by providing a valid email address and password, or by signing in through Google OAuth. You must be at least 16 years old to create an account.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorized use of your account. We are not liable for any loss arising from unauthorized access to your account.
3.3 API Keys
You are solely responsible for your third-party API keys (LLM providers, Telegram, WhatsApp). You must ensure your API keys are valid and that your usage complies with the respective provider's terms of service. PrivateClawd encrypts stored API keys but is not liable for charges incurred through your keys.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Send spam, unsolicited messages, or engage in harassment through bots
- Deploy bots that generate or distribute illegal, harmful, or abusive content
- Attempt to gain unauthorized access to other users' bots, data, or accounts
- Use code execution capabilities to mine cryptocurrency, attack other systems, or perform malicious activities
- Circumvent platform resource limits, rate limits, or security measures
- Reverse-engineer, decompile, or attempt to extract the source code of the Service (except as permitted by applicable law)
- Resell or redistribute access to the Service without authorization
We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.
5. Bot Content & Responsibility
You are solely responsible for the content generated by your bots, including messages sent through Telegram, WhatsApp, or any other channel. PrivateClawd does not monitor or filter bot conversations. You must ensure your bots comply with the terms of service of all connected platforms and LLM providers.
6. Service Plans & Billing
6.1 Free Plan
The Free plan includes limited bot instances and token quotas as described on our pricing page. Free plan features may change at any time with reasonable notice.
6.2 Paid Plans
Paid plans (Pro, Enterprise) are billed monthly. Payments are non-refundable except where required by law. We may change pricing with 30 days' advance notice. Your continued use after a price change constitutes acceptance of the new pricing.
6.3 Token Usage
Token usage is tracked per bot and per account. Exceeding your plan's token limits may result in temporary throttling of bot activity until the next billing cycle or an upgrade to a higher plan.
7. Intellectual Property
The PrivateClawd platform, including its design, code, logo, and documentation, is owned by PrivateClawd and protected by intellectual property laws. OpenClaw is a separate open-source project governed by its own license. You retain ownership of your bot configurations, custom skills, and workspace files.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:
- The Service will be uninterrupted, timely, or error-free
- Bot responses will be accurate, complete, or appropriate
- Third-party integrations (LLM providers, messaging platforms) will remain available
- Your data will never be lost (you should maintain your own backups)
9. Limitation of Liability
To the maximum extent permitted by law, PrivateClawd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Termination
You may delete your account at any time from the platform settings. Upon termination, your bots will be stopped and their containers removed. All associated data (configurations, workspace files, logs) will be permanently deleted within 30 days. We may terminate or suspend your access if you violate these Terms.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration.
